Reseller Terms and Conditions

By placing an order, you, the reseller, hereby agree to comply with and be bound by the following terms and conditions set forth by Aduro Global Inc. ("Supplier"). These terms govern your rights and responsibilities as an authorized reseller of the Supplier’s products.

• Authorized Sales Channels: You are authorized to sell the Products solely in physical retail locations previously disclosed to and expressly approved by the Supplier. You agree not to sell, market, distribute, or advertise the Products online, including but not limited to e-commerce platforms, social media channels, and third-party online retailers. Any sales outside the approved channels are strictly prohibited, unless previously agreed with Supplier.
• Compliance with Laws: You must comply with all applicable local, state, national, and international laws and regulations regarding the sale, marketing, and distribution of the Products. It is your responsibility to ensure all business practices are lawful and in accordance with these terms.
• Intellectual Property Rights: You are granted a limited, non-exclusive, non-transferable license to use the Supplier's trademarks and branding materials provided by the Supplier solely for the purpose of marketing and selling the Products. This license does not confer any additional rights in the Supplier’s intellectual property to you.
• Audit and Enforcement: The Supplier reserves the right to audit your activities to ensure compliance with this agreement. Failure to comply with these terms can result in immediate termination of your reseller status and further legal action.
• Indemnification: You agree to indemnify, defend, and hold harmless Aduro Global Inc. from any claims, damages, losses, liabilities, and expenses arising out of your breach of these Terms and Conditions, your sales practices, or your other actions or omissions.
• Limitation of Liability: Aduro Global Inc. shall not be liable for any claims, damages, or liabilities arising from customers' use of the Products. You acknowledge that Aduro Global Inc. is not responsible for any direct, indirect, incidental, special, or consequential damages arising out of the use of the Products.
• Termination: These Terms and Conditions are effective unless and until terminated by either you or the Supplier. You may terminate this agreement at any time by notifying the Supplier that you no longer wish to be a reseller, or if you cease to use the approved sales channels. The Supplier may also terminate this agreement at any time without notice, and accordingly may deny you access to the Products if, in the Supplier’s sole judgment, you fail to comply with any term or provision of these Terms.
• General Provisions: These Terms and Conditions constitute the entire agreement between you and Aduro Global Inc. concerning the subject matter hereof, and they supersede all prior agreements or communications between you and the Supplier.

By confirming your order, you acknowledge that you have read, understood, and agreed to be bound by these Reseller Terms and Conditions.
